Terms and Conditions
Last updated:
1. Who provides the service
Atlas Guidance is a service provided by Karel Goldenberg Fredes, an individual acting in the course of business under the trade name "Allaynce", tax ID 19.922.308-9, based in Santiago Centro, Santiago, Chile ("Allaynce").
Any communication regarding these Terms may be addressed to [email protected].
2. Purpose and who it is for
Atlas Guidance is a web application that lets a company record its structure, its processes and its operational knowledge, and derive from those relationships where work depends on a single person.
The service is offered exclusively to companies and organizations acting in the course of their business. It is not directed at consumers contracting outside a business activity, nor at minors.
By subscribing to or using the service, the person doing so confirms they are authorised to bind the company they represent.
3. Account and management seats
Using Atlas Guidance requires creating an organization account. Whoever creates it is responsible for the accuracy of the details provided and for safeguarding their credentials.
The service distinguishes management seats — the people who administer, approve and publish — from the rest of the workforce, who sign in, read and follow processes without taking a seat. Only management seats are billed.
Each plan includes a number of management seats in its base price and allows additional seats up to a ceiling, as set out on the pricing page.
4. Plans, prices and taxes
The current plans, their prices and their limits are those published on the pricing page of this site.
Yearly payment is equivalent to ten monthly payments. Published prices exclude tax: the tax applicable in the customer's country is calculated and added during checkout.
Allaynce may change its prices. Changes do not affect a period already paid for and are communicated before they apply to the following renewal.
5. Paddle is the merchant of record
Atlas Guidance subscriptions are sold by Paddle.com Market Limited as merchant of record.
This means Paddle sells the service to the customer, collects payment, issues the receipt and handles taxes and refunds. The customer's contract of sale is with Paddle; these Terms govern the use of the service provided by Allaynce.
On completing payment the customer also accepts Paddle's buyer terms, made available during checkout.
6. Billing and receipts
Atlas does not issue its own invoices. The valid receipt for each charge is the one issued by Paddle, available in Paddle's billing portal.
That portal is reachable from the billing screen inside Atlas Guidance.
7. Acceptable use
The customer undertakes not to use the service for unlawful activities, nor to attempt to access another organization's data, interfere with the operation of the service, circumvent its technical limits or reverse engineer it.
The customer is responsible for the use made by the people it grants access to.
Allaynce may suspend access where use endangers the security, availability or integrity of the service or of other organizations' data, informing the customer as soon as reasonably possible.
8. Customer data
The data the customer enters into Atlas Guidance — including data about its employees, its processes and its documents — belongs to the customer. Allaynce does not claim it as its own and does not use it for purposes other than providing the service.
The processing of that data is described in the Privacy Policy, which forms part of these Terms.
The customer is responsible for having the legal basis required to bring employee data into the service and for informing those people where applicable.
9. Service availability
Allaynce works to keep the service available but does not currently offer a service level agreement with a guaranteed uptime percentage.
The service may be interrupted for maintenance, by incidents at its infrastructure providers, or by events beyond reasonable control.
10. Intellectual property
The software, brand, design and documentation of Atlas Guidance belong to Allaynce. A subscription grants a right to use the service while it is in force, not an assignment of those rights.
Nothing in this document transfers rights in the software to the customer.
11. Limitation of liability
The service is provided as is. Atlas Guidance surfaces signals derived from the data the customer maintains: a review of operational dependencies, not a guarantee of business continuity. Decisions the customer takes on that basis are the customer's own.
To the extent permitted by applicable law, Allaynce's liability to the customer for any claim arising from the service is limited to the amount actually paid by the customer in the twelve months preceding the event giving rise to it.
Allaynce is not liable for lost profits, lost opportunity or indirect damages.
12. Term, cancellation and suspension
The subscription renews automatically at the end of each period unless cancelled.
The customer may cancel at any time from the billing screen. Cancellation takes effect at the end of the period already paid for; by itself it does not produce a refund, which is governed by the Refund Policy.
In the event of non-payment, access may be restricted until the situation is resolved.
13. Changes to these Terms
Allaynce may amend these Terms. The version in force is always the one published on this page, with its last-updated date.
Where a change materially affects the customer's rights, it will be communicated before it takes effect.
14. Governing law
These Terms are governed by the law of Chile. Any dispute will be submitted to the competent courts of that country, without prejudice to any rights the customer may have under mandatory rules of its own jurisdiction.
